General terms and conditions:
General information:
The following terms of payment and delivery are part of all sales and delivery contracts. Deviating conditions and subsequent declarations/agreements are binding only if they are in writing and acknowledged by our sales representative. Each order requires the exact specifications of all details.
Offer and price:
Our offers are always non-binding. Price changes on short notice are possible if unusual fluctuation on raw material markets occur. In case of a short notice price change the sales price will be determined by the price on the date of order or date of delivery. All prices are exclusive Value Added Tax and apply to deliveries within Germany.
Shipping costs and insurance are not included in price. Delivery is at buyer’s risk.
The prices are as listed in price list/ catalog. If a new catalog is issued, prices of the new catalog will prevail and prices of the preceding catalog are superseded and do no longer apply. We reserve the right to change our prices at our own discretion. Minimum purchase order value is Euro 50.00.
Delivery:
The obligation for delivery starts only on receipt of a written order.
In the event of a higher force (act of god), such as operational disturbances, strikes and raw material shortages entitles Ascent GmbH, to withdraw from the contract totally or partly or to an extension of delivery time up to the removal of the obstacles. In this event we are not liable for damages and/or reimbursement claims. Unless specified in the latter, further claims are excluded, no matter on what grounds. We are not responsible for damages that are not arising from the supplied merchandise. Especially, we are not liable for lost profit or other property damages. Damages in transit have to be reported within 48 hours.
We reserve the right to partial shipments. If not otherwise specified, we will select the carrier (shipper).
Notice of defect and warranty for defects:
The buyer is obligated to inspect the merchandise for faults and damages immediately upon receipt and report any findings in writing, within 8 working days.
Ascent GmbH has a period of minimum 4 weeks to examine and if applicable to repair or replace the defect goods. In case of a valid defect the goods must be returned prepaid within 8 days and after arrangement with Ascent GmbH. Non-prepaid returns will not be accepted.
The right to withhold or off-set is excluded. Credit notes will be issued which can be offset with the next order. Reimbursements are not available.
Payment:
Invoices are payable in full without deduction within 10 days after receipt. We deliver to new customers for cash-in-advance or COD without exception. After credit check we can deliver on invoice payment terms. In case of delayed payment, late payment fees and interest at the current banking rates will be charged.
Shipments to outside of Germany are for cash-in-advance according to amount on proforma invoice.
Retention of title:
All sales are made exclusively under retention of title. Title only passes to customer after all receivables are paid in full.
Place of delivery and area of jurisdiction:
Place of delivery and area of jurisdiction are Nuernberg, Germany. For all legal acts created by this business relationship, German Law is exclusively applicable.

Knives and batons etc. may only be sold in accordance to the weapons law to persons over 18 years of age. Use of pepper spray is only permitted in the instance of animal attack.
This catalog is protected under copy right law.
Duplication of any type, in part or as a whole, only with written permission of Ascent GmbH.
We reserve the right to technical modifications for product updating as well as changes in design, form and configuration.
Ascent GmbH is not liable for possible discrepancies between the photographic representation as well as misprints in catalog and the product.
